Share Buy-back Program 2023

SAP intends to buy back its own shares via the stock exchange at total acquisition costs of up to 1.25 billion € (without incidental acquisition costs) in the period from 14 August 2023 until 19 February 2024 at the latest. With the approval of the Supervisory Board, the SAP Executive Board thereby makes use of the authorization for the acquisition of own shares granted by the general meeting of shareholders on 11 May 2023.
The share buy-back is carried out by involving an independent bank which makes its decisions concerning the timing of the acquisition of the shares independently of, and without being influenced by, SAP. The share buy-back is implemented in compliance with the requirements of Articles 5, 14 and 15 of Regulation (EU) No. 596/2014 of the European Parliament and the Council dated 16 April 2014 (hereafter: MAR) in connection with the provisions of the Delegated Regulation (EU) No. 2016/1052 of the Commission dated 8 March 2016, except for the limitation to one of the purposes named in Article 5 (2) MAR. We will provide regular updates on the progress of the share buy-back programme on this web site.
