Official Rules

NO PURCHASE NECESSARY TO ENTER OR WIN. PARTICIPATION IN SAP ASIA PACIFIC JAPAN INNOVATION CHALLENGE 2018 CONSTITUTES YOUR ACCEPTANCE OF THESE RULES.

VOID OUTSIDE OF AUSTRALIA, INDIA, INDONESIA, JAPAN, MALAYSIA, NEW ZEALAND, PHILIPPINES, SINGAPORE, SOUTH KOREA, THAILAND, VIETNAM (THEREAFTER “ELIGIBLE COUNTRIES”) AND WHERE PROHIBITED BY LAW.

1) Introduction: The SAP Asia Pacific Japan Innovation Challenge 2018 Program (“Program”) is a skill based contest in which Entrants will submit a Registration Form and Idea Nomination Form provided by Sponsor demonstrating a Digital Innovation Idea that uses one or more of new Technologies (Machine Learning, IoT, Blockchain, Big Data, Advanced Analytics) and has potential to be deployed in their organization as part of their digital journey. Note that in addition to the Eligibility requirements in Section 3, below, the digital innovation idea that is the subject of the Entry must have feasibility and executive sponsorship of deployment in an Eligible Country.

2) Term: Eligible Entrants may participate in the Program by submitting Idea Nomination Form from January 8, 2018 at 9 a.m. Singapore Time (SGT) to March 16, 2018 6:00 pm SGT (the “Program Period.”). Entrants are required to determine the appropriate beginning and ending times in the Program Period for their respective jurisdictions.

3) Eligibility: Entrants must (i) be above the age of majority in their place of residence; (ii) reside in one of the Eligible Countries (the individual who submits the Entry and the representative of the SAP Customer or Partner or Prospect that is the subject of the Entry, if submitted by a third party); (iii) be an employee of the SAP Customer or Partner or Prospect whose Entry is being submitted (or alternatively be an employee of a third party entity that has a business relationship with the customer) (“SAP Customer”); and (iv) whether you are an employee of the SAP Customer or Partner or Prospect, an employee of the third party submitting on behalf of the SAP Customer, you must have the express prior authorization of the SAP Customer or Partner or Prospect to enter the Program on behalf of the entity they are representing subject to the Official Rules (“Entrant(s)”). For avoidance of doubt, all references to “Entrant(s)” and the rights and obligations associated with these references shall include and apply to the entity on whose behalf the Entry is submitted.

Individuals who are employees, officers, directors, agents, or partners of Sponsor and its respective parents, subsidiaries, affiliates and advertising and promotion agencies (collectively, “Program Entities”), and the immediate family members (spouses, domestic partners and parents, children and siblings and their spouses or domestic partners, regardless of where they live) or members of the same households (whether related or not) of such individuals are not eligible to win. EMPLOYEES OF GOVERNMENT ENTITIES OR THE GOVERNMENT OF ELIGIBLE COUNTIRES OR FOREIGN STATE OR TERRITORY (“GOVERNMENT ENTRANTS”) MAY ONLY PARTICPATE UNDER THE LIMITED CIRCUMSTANCES SET FORTH IN THESE OFFICIAL RULES. SAP reserves the right to verify eligibility and to adjudicate in its sole and absolute discretion on any dispute related to this Program at any time. The Program is subject to all federal, state, and local laws and is void where prohibited. Entrants in the Program agree to be bound by these Official Rules and the decisions of the Sponsor.

Entrant warrants that the appropriate corporate officers, executives, managers or other persons of the entity on whose behalf the Entry was submitted have approved the Entry, and understand and agree that these Official Rules will be binding on both the individual submitting the Entry and the entity on whose behalf the Entry was submitted. The Entrant understands that if the Entry is submitted without obtaining the appropriate approval, Sponsor may, in its sole discretion, disqualify the Entrant, the SAP Customer, Partner, and the Entry. Furthermore, in the case of a third party entering on behalf of an SAP Customer, participation by Entrant is subject to Sponsor receiving written confirmation from an authorized representative of the SAP Customer indicating the SAP Customer’s acceptance of the Official Rules.

4) Prize Categories: The following are prizes for winning entries: a) Most Innovation Idea Award: Top 5 ideas will get recognition in form of a package of Design Thinking Workshop and Rapid Prototyping of the winning Idea by SAP Experts. For purpose of Rapid Prototyping, any associated costs related to SAP Software & Services would be borne by SAP, This Expert Service would be provided at office location of the winning participant OR at SAP Office and needs to be consumed within 45 days of announcement of winners. It is the responsibility of winning idea team to arrange necessary internal resources for Design Thinking and Rapid Prototyping. b) Appreciate Certificate of Innovative Thinking: Top 100 entries will receive an Appreciate Certificate of Innovative Thinking and a token of appreciation from Sponsor.

5) How to Enter: Entrants should submit Registration Form and Idea Nomination Form via email , which includes a Word or PDF template for describing a Digital Innovation Idea that uses one or more of new Technologies (Machine Learning, IoT, Blockchain, Big Data, Advanced Analytics) and has potential to be deployed in their organization as part of their digital journey.

The form of the Entry can be found at www.sap.com/idea-place/sap-apj-innovation-challenge-2018 . Entrants must complete all fields in the Idea Nomination Form to qualify. Entries must be in English. If an Entry is incomplete or does not comply with the specifications and rules, then the Entry will be disqualified. Sponsor is not responsible for lost, late, incomplete, misdirected, or delayed Entries, nor is Sponsor responsible for failed Internet connections, unavailability of servers or any other technical malfunctions for any reason. Entrants should retain a copy of all materials submitted for the Program, as Sponsor will not return any of the Entries. All decisions by Sponsor and Judges are final and absolute and are not subject to inquiry or appeal. No purchase or payment is required to enter, and any expenses Entrants voluntarily incur during the submission process are their sole responsibility.

6) Judging and Winner Notification: Eligible Entries will be judged against the other Entries as determined by the Award Team. There will be two rounds of judging.

a) Round 1: Award committee will select up to 10 entries per Eligible country as finalists between March 19, 2018 and March 20, 2018 to proceed to Round 2 judging.

b) Round 2: Judging will take place between March 20, 2018 and March 22, 2018. Each of the finalist will be judged by a group of qualified judges consisting of Sponsor’s employees and/or non-employee judges selected by Sponsor (“Judges”). Judges will review all the finalist. Entries with the highest score(s) in each Entry Category will be determined to be the winners in that Entry Category. Each Entry will be evaluated by the Judges based on the following criteria (each of which will be equally weighted):
i) Creativity of the Idea: To what degree does the idea demonstrate innovative thinking, creativity and relevancy to target beneficiaries.
ii) Value of the idea: What complex problems does the nominated idea attempt to solve? How strategic or innovative is it? What value it brings for business and target customers?
iii) Use of Disruptive Technologies for Innovation: What is the role of new disruptive technologies (Machine Learning, IoT, Blockchain, Big Data & Advanced Analytics) in this idea? How does this idea disrupt or complement existing technology & process?
iv) Feasibility of Idea Implementation: To what degree is there a feasibility to implement this idea including any feedback from stakeholders, beneficiaries and Exec Sponsor in participating organization.

In the event of a tie, the Entry that received the higher score from the Judges in the category of “Use of Disruptive Technologies for Innovation” followed by “Value of Idea” will be selected as the winner. In the event a winner is disqualified for any reason, the Entry that received the next highest total score will be chosen as the winner.

Winners will be notified on or about March 29, 2018 by telephone or email at Sponsor’s discretion. If a winner does not respond to the notification attempt within three (3) working days from the first notification attempt, then such winner will be disqualified and an alternate winner will be selected. With respect to notification by telephone, such notification will be deemed given when a winner engages in a live conversation with Sponsor or when a message is left on the potential winner’s voicemail service or answering machine by the Sponsor, whichever occurs first.

Except where prohibited by law, the winners may be required to sign and return a Declaration of Eligibility and Liability and Publicity /Photo Release and provide any additional information that may be required by Sponsor. If required to submit documents prior to receipt of any prize, winner must return all such required documents within three (3) days following attempted notification or such potential winner will be deemed to have forfeited the prize and another winner will be selected based on the judging criteria described herein. All notification requirements, as well as other requirements within these Official Rules, will be strictly enforced.

7) Prizes: Prizes, as outlined in Clause 4, will be awarded to the top entries with the highest score(s).

NOTE: GOVERNMENT EMPLOYEES ARE NOT ELIGIBLE FOR THE PRIZES IDENTIFIED ABOVE, BUT MAY RECEIVE RECOGNITION FOR THEIR ACHIEVEMENTS IN THE FORM OF A COMMERATIVE PLAQUE OR SIMILAR.

Odds of winning depend on the number of Entries received during the Program Period and the skill of the Entrants (i.e., the innovative nature of their solution, and the skill exercised in creating the entry). No other prize elements except those specifically described here are awarded. Prizes are not transferable and must be accepted as awarded, with no substitutions of any kind, except by the Sponsor, which reserves the right to substitute the prize (or portion thereof) with one of comparable or greater value, at its sole discretion. All federal, state and local taxes, as well as any other costs and expenses associated with prize acceptance and use not specified herein as being provided are the potential winner’s responsibility. All prize details are at the Sponsor’s sole discretion.

8) Taxes: ANY PAYMENTS TO OR ON BEHALF OF POTENTIAL PRIZE RECIPIENTS ARE SUBJECT TO THE EXPRESS REQUIREMENT THAT THEY SUBMIT TO SPONSOR ALL DOCUMENTATION REQUESTED BY SPONSOR TO PERMIT IT TO COMPLY WITH ALL APPLICABLE SINGAPORE TAX REPORTING AND WITHHOLDING REQUIREMENTS. ALL GRANTS WILL BE NET OF ANY TAXES SPONSOR IS REQUIRED TO WITHHOLD. ALL TAXES IMPOSED ON THE PRIZE, OTHER THAN THOSE SPONSOR IS REQUIRED TO WITHHOLD, ARE THE SOLE RESPONSIBILITY OF THE PRIZE RECIPIENT.

9) Intellectual Property Rights and Grant of License: Each Entrant shall retain ownership of all intellectual property rights in each Entry (including moral rights) subject to these Official Rules. However, by entering the Program, and to the extent allowed by law, each Entrant grants SAP and its affiliates, licensees, promotional partners, developers and third party marketing entities a non-exclusive, perpetual, worldwide, royalty-free license to edit, modify, cut, rearrange, add to, delete from, copy, reproduce, adapt, publish, exploit and use the Entry, including without limitation the name and logo of the SAP Customer and/or Start-up/Partner, and the Entrant’s name, throughout the world, and in any manner, for trade, advertising, promotional, commercial, or any other purposes without further review, notice, approval, consideration, or compensation.

10) Entrant Representations and Warranties: By entering the Program, Entrants represent and warrant that their Entries are their own original work and, as such, they are the sole and exclusive owner and rights holder of the submitted Entry and that they have the right to submit the Eligible Entry in the Program and grant all required licenses and assignments. Alternatively, in the event the Entrant is submitting the Entry on behalf of a customer or other business partner, the Entrant represents and warrants that it has been granted the right to submit the Entry, and that it meets the foregoing requirements. Each Entrant agrees not to submit any Entry that infringes any third party proprietary rights, intellectual property rights, industrial property rights, personal or moral rights or any other rights, including without limitation, copyright, trademark, patent, trade secret, privacy, publicity, or confidentiality obligations. Entrant also warrants that he/she has permission from their employer or other appropriate party such as an SAP Customer or Partner to submit the Entry.

11) Indemnity: To the maximum extent permitted by law, each Entrant indemnifies Program Entities at all times from and against any and all liability, claims, demands, losses, damages, costs and expenses resulting from any act, default or omission of the Entrant and/or a breach of any warranty set forth herein. To the maximum extent permitted by law, each Entrant agrees to defend, indemnify and hold harmless the Program Entities from and against any and all claims, actions, suits or proceedings, as well as any and all losses, liabilities, damages, costs and expenses (including reasonable attorney’s fees) arising out of or accruing from (i) any entry or other material submitted by the Entrant that infringes any copyright, trademark, trade secret, trade dress, patent or other intellectual property right of any person; (ii) any misrepresentation made by the Entrant in connection with the Program; or (iii) any non-compliance by the Entrant with these Official Rules.

12) Release, Publicity, and General Terms: By participating in the Program, Entrants: (i) agree, to the fullest extent of the law, to release and hold harmless Program Entities from any and all liability for any injuries, loss or damage of any kind arising from or in connection with the Program; and (ii) grant to Sponsor, its affiliates, licensees, promotional partners, developers and third party marketing entities the right to use and publish their full name (first and last), the name and trademark(s)/logo(s) of their employer or the entity on whose behalf they are submitting the Entry, and state or province and/or country, statements, photograph, voice and/or likeness, and to assist Sponsor in obtaining the same from the SAP Customer in the event the Entrant is submitting the Eligible Entry on behalf of an SAP Customer or Partner, for any advertising and promotional purposes relating to the Program, in any media now known or hereafter devised, without further notice, compensation, consideration, review or consent and without regard to moral rights, except where prohibited by law.

Sponsor assumes no responsibility or liability for the following: (i) telephone or technical malfunctions that may occur; (ii) any incorrect or inaccurate information, any of the equipment or programming associated with or utilized in the Program, or any technical or human error which may occur in connection with the Program; or (iii) any injury or damage to participants related to or resulting from participating in the Program. If, for any reason, the Program is not capable of running as planned, including because of, tampering, unauthorized intervention, fraud, technical failures, force majeure, or any other cause beyond the control of Sponsor which may corrupt or affect the administration, security, fairness, integrity or proper conduct of the Program, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Program, or disqualify an Entrant. Sponsor reserves the right to change these Official Rules at any time, with or without notice.

13) Privacy: By participating in the Program, Entrant, and all of those identified in the Entry and Entry application, consents to the collection, use and disclosure of your personal information as described in these Official Rules and as described at http://www.sap.com/about/legal/privacy.html , including without limitation the addition of contact information, including person information, to the customer relationship management systems of Sponsor and its affiliated companies.

14) Governing Law: These Official Rules are governed and interpreted by the laws of Singapore without regard to its conflict of law provisions.

15) Rules & Winners: A list of winners will be available on or about April 15, 2018 at www.sap.com/idea-place/sap-apj-innovation-challenge-2018.html
