SAP America offers an American Depositary Receipt (ADR) purchase program to encourage employee participation in the ownership of SAP America's parent company, SAP AG. The program provides employees a convenient way to purchase SAP AG Non-Voting Preference Shares through semi-monthly payroll deductions.

The plan permits all full-time and part-time employees of SAP America to:

• Buy ADRs at fair market value through regular payroll deductions ($25 per/pay minimum)
• Buy ADRs immediately upon hire, with no waiting period
• Buy ADRs with automatically reinvested dividends at reduced brokerage commissions and related fees.
