Dear shareholders of SAP SI AG,

On 23 March 2004, SAP AG decided to launch a voluntary public offer to the outside shareholders of SAP SI AG to purchase their shares of SAP SI AG in consideration of €20.40 cash per share.

The publication of the German language offer document was approved by the Federal Financial Supervisory Authority (Bundesanstalt für Finanzdienstleistungsaufsicht) on 27 April 2004. The offer document was published on 28 April 2004. The acceptance period ends on 27 May 2004, 12:00 (CEST).
